This Agreement is entered into by and between the individual or entity ("Author") agreeing to these terms and Kulu1.com ("Publisher"), a platform for publishing, selling, and distributing books. This Agreement outlines the terms and conditions under which the Author agrees to publish their book(s) with the Publisher and the obligations of the Publisher towards the Author.
1. Grant of Rights The Author hereby grants the Publisher the right to publish, distribute, and sell their book(s) through the Publisher's platform, Kulu1.com. This grant includes the sale of printed versions of the book(s) and any other formats the Publisher may consider.
2. Royalties
The Publisher agrees to pay the Author a royalty equal to twenty-five percent (25%) in Canadian Dollars ($CAD) of the Net Sales from each printed book sold. “Net Sales” shall be defined as the amount actually received by the Publisher from the sale of the book(s), less any applicable discounts, returns, and allowances offered to customers.
3. Printing cost Printing costs are determined by the page count of your Print Book and the chosen ink type, whether black or color. Factors such as trim size, bleed settings, and cover finish do not impact printing costs. If you choose a hardcover option, the per-page cost for paper remains consistent; however, the total cost will fluctuate based on the color and material specifications for the hardcover.
4. Payment Method The Author agrees to receive royalty payments through PayPal. In the event the Author does not have a PayPal account, the Publisher agrees to arrange an alternative payment method acceptable to both parties. The specific details of payment intervals will be communicated and agreed upon separately by the Publisher and the Author.
5. Author's Vendor Account The Author is required to sign up as a vendor on Kulu1.com. This account will enable the Author to monitor the sales of their book(s), manage their profile, and interact with the Publisher and customers as necessary.
6. Book Removal Should the Author decide to withdraw their book(s) from the Kulu1.com platform, they have the right to request removal by contacting the Kulu1.com team. Upon receiving such a request, the Publisher agrees to delete the book(s) from the platform within 24-48 hours, subject to verification and processing requirements.
7. Representations and Warranties The Author represents and warrants that they are the sole owner of the work or have been duly authorized by the rightful owner to enter into this Agreement. The Author also assures that the work does not infringe upon the copyrights, trademarks, or any other rights of any third party.
8. Indemnification The Author agrees to indemnify and hold the Publisher harmless from any claims, damages, or expenses (including reasonable attorney's fees) arising from any breach of the Author's representations and warranties.
9. Term and Termination This Agreement will remain in effect until terminated by either party with notice. Upon termination, all rights granted to the Publisher will revert to the Author, and any unsold copies of the book(s) will be handled as agreed upon by both parties.
10. Miscellaneous This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and understandings. Any amendments to this Agreement must be in writing and signed by both parties.
11. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Publisher operates, without giving effect to any principles of conflicts of law.
By proceeding to publish their book(s) on Kulu1.com, the Author acknowledges they have read, understood, and agreed to the terms outlined in this Agreement.
